| The
following terms and conditions shall be part of all quotations, orders
and contracts involving Prezenta Product Group. Different terms or
conditions set forth by Buyer shall not be binding with Prezenta Product
Group unless specifically agreed upon in writing by Prezenta Product
Group.
Payment
and Financial Conditions:
Each order shall be sold under a separate and independent contract.
Prezenta Product Group reserves the right to require from the Buyer
full or partial payment prior to manufacture or shipment.
Prices:
All orders shall be subject to acceptance by Prezenta Product Group.
Unless specifically stated otherwise, all prices shall be valid
for a period of thirty (30) days after quotation.
Deliveries:
Shipping terms shall be F.O.B. Wilmington, NC. All orders shipped
UPS Groundtrac unless otherwise specified by Buyer.
Inspection:
Shipment shall be inspected within five (5) days of its arrival.
Any claim for shortage, overage, or non-conforming material must
be submitted to Prezenta Product Group in writing. Failure to provide
such shall deem the contract fulfilled and the Buyer bound to accept
and pay for the shipment as prescribed by the contract.
Cancellations:
Order accepted by Prezenta Product Group shall not be subject to
cancellation by the Buyer without written approval from Prezenta
Product Group. Special or custom orders may not be canceled or altered
once the order has been accepted.
Terms:
Terms may be extended if credit information that is acceptable to
Prezenta Product Group is presented and verified. Terms, if issued
shall be at the discretion of Prezenta Product Group and may be
altered at any time without notice. All first time orders shall
be prepaid only.
Returns:
Goods shall not be returned without prior written consent of Prezenta
Product Group. A Prezenta Product Group Return Authorization form
and number will be issued for authorized returns. No return will
be accepted without this form accompanying shipment. A 20% restocking
fee may apply.
Delinquent
Accounts:
An account shall be delinquent if it is not paid in full in thirty
(30) days. Interest shall accrue on delinquent accounts at the rate
of one and one-half (1-1/2%) per month or at the highest permissible
rate allowed by law for this type of transaction, whichever is lower.
The Buyer shall be responsible for the payment of all costs incurred
by Prezenta Product Group in collecting a delinquent account including
its reasonable attorney's fees.
Disputes:
In the event that a dispute arises over goods, payment or any other
reason the matter shall be governed by the laws of the State of
North Carolina, in the County of New Hanover.
